2. Purpose and Scope of These Terms
These Terms and Conditions govern access to and use of the Website and the content and contact mechanisms available through it.
When using the Website, users must do so in accordance with these Terms, applicable law, and the rights of TradeWorks and third parties.
These Terms exclusively govern the use of the Website. They do not constitute a professional services agreement and do not replace the terms that may be separately agreed between TradeWorks and its clients.
3. Purpose of the Website
TradeWorks is a professional B2B firm specializing in foreign trade.
The Website is primarily intended for informational and commercial purposes and allows users, among other things, to:
- obtain general information about TradeWorks and its services;
- review articles, publications, and other informational content; and
- contact TradeWorks to request information about its services.
The Website is not an online store or marketplace. It currently does not allow users to make purchases, process payments or orders, create user accounts, or automatically engage professional services through a transaction completed within the Website.
4. Informational Nature of the Content
The information published on the Website is general and informational in nature.
TradeWorks seeks to ensure that its content is reasonably accurate and useful at the time it is prepared or updated. However, legal, tax, customs, administrative, and regulatory provisions may be amended, replaced, interpreted differently, or apply differently depending on the facts and circumstances of each case.

For a professional services relationship to exist, TradeWorks and the client must expressly indicate their agreement with the engagement and the applicable terms.
Such engagement may be documented, as applicable, through a proposal, quotation, agreement, engagement letter, electronic acceptance, email, or another instrument or communication that sufficiently evidences the intent of the parties in accordance with applicable law.
The specific terms of the service, including its scope, deliverables, fees, responsibilities, duration, and other applicable conditions, will be those established in the instrument through which the corresponding engagement is formalized.
If a professional relationship has been formally established, these Terms will not modify the specific agreement or instrument entered into with the client. If there is any conflict between them regarding the contracted service, the specific terms agreed for such service will prevail.
7. Electronic Communications
TradeWorks makes various electronic contact methods available to users, including Website forms, email, and any other channels that may be published.
These channels may be used to request information and maintain communications with TradeWorks.
The mere sending of an electronic communication does not automatically constitute acceptance of a professional engagement. The legal effects of subsequent communications will depend on their content, the statements of the parties, and applicable law.
Nothing in these Terms is intended to disregard the legal effects that Mexican law recognizes for data messages, electronic communications, electronic signatures, or other expressions of intent made through technological means.

TradeWorks seeks to describe its services clearly and with reasonable accuracy.
However, the information published on the Website is intended for informational and commercial purposes and does not necessarily include all conditions, requirements, limitations, or scope applicable to each service or project.
The availability of a service, its scope, methodology, timing, fees, and other conditions will be determined, where applicable, in the specific communication, proposal, or instrument applicable to the client.
TradeWorks may correct, update, expand, reorganize, or remove information from the Website when necessary.
14. Website Availability and Modifications
TradeWorks seeks to keep the Website reasonably available and operational but does not guarantee uninterrupted availability or that it will be free from technical errors.

17. Applicable Law and Jurisdiction
These Terms and use of the Website will be governed by the applicable laws of the United Mexican States.
Disputes arising specifically from access to or use of the Website will be submitted to the authorities and courts having jurisdiction under applicable law.
This provision does not modify any governing law, jurisdiction, arbitration, or other dispute resolution clauses that TradeWorks and a client may separately establish in a professional services agreement or other instrument applicable to their professional relationship.
